Conglomerate owner families maintain control in the 60% range with a 3.5% stake... Circular shareholding decreases
A trend of voluntary corporate governance improvement has emerged within domestic large conglomerates, with circular shareholding links being significantly resolved and the proportion of treasury stock decreasing. However, the study found that a significant gap persists between the direct stake held by controlling families and the overall internal shareholding ratio.
According to the Fair Trade Commission on the 3rd, an analysis of stock ownership status among 89 corporate groups subject to disclosure with controlling families (3,293 affiliated companies) that have assets exceeding 5 trillion won revealed an average internal shareholding ratio of 61.4%, a slight decrease from the previous year (81 groups, 62.4%).
Specifically, controlling families held an average stake of 3.5% and affiliated companies an average of 55.5%, showing a downward trend compared to the previous year. Nevertheless, a substantial gap remains between the direct control exerted by controlling families and the overall internal shareholding ratio.
The groups with the highest controlling shareholder stakes were X (Iljin Global, 51.4%), Daemyung Chemical (26.4%), and Booyoung (23.1%), in that order. Meanwhile, the shareholdings of second-generation controlling shareholders were led by Nexon (65.1%), Hankook & Company Group (19.6%), and Bando Holdings and Aekyung (12.1% each).
The total number of circular shareholding links among publicly disclosed corporate groups this year was 233, a sharp decrease of 1,202 from 1,435 last year. This indicates that companies' voluntary efforts to improve their shareholding structures have yielded tangible results.
In fact, Taekwang and KG completely eliminated all existing circular shareholding links, while Sajo, newly designated last year, significantly reduced its circular shareholding links from 1,426 last year to 220 this year.
Conversely, the average proportion of treasury stock held by companies decreased by 0.5 percentage points from the previous year to 1.9%. This is attributed to the impact of strengthened disclosure obligations regarding the disposal of treasury stock and increased shareholder oversight following recent amendments to the Commercial Act and the Capital Markets Act. The groups with the highest proportion of treasury stock were Mirae Asset (10.5%), Kyobo Life Insurance (8.5%), and KCC (7.5%).
The number of companies subject to regulations against private gain under the Fair Trade Act reached 1,047, accounting for 31.8% of all affiliated companies; this represents an increase of 89 companies compared to the previous year due to factors such as the inclusion of new groups.
Furthermore, domestic investments through overseas affiliates were still confirmed. 115 overseas affiliates belonging to 34 groups are making direct or indirect investments in 88 domestic affiliates, with the groups having the most investing overseas affiliates being Lotte (22), SK (11), and Hanwha (8).
The number of stock grant agreements signed for the purpose of performance compensation totaled 585, a 65.7% surge compared to the previous year (353 cases). Among these, it was found that Doosan, Amorepacific, and Kyobo Life Insurance entered into agreements targeting their heads, while Hanwha, Woongjin, and Eugene entered into agreements targeting the second-generation heirs of their heads.
The Fair Trade Commission stated, "While positive changes such as a reduction in circular shareholding have been confirmed, the gap between ownership and control remains significant." The Commission added, "We will strictly enforce the law against unfair internal transactions and acts of self-dealing by the heads' families, while sequentially disclosing information on debt guarantees, internal transactions, and governance structures to encourage self-monitoring by the market."
