Harim embraces Homeplus Express...Final approval of business combination from Fair Trade Commission

The acquisition of Homeplus Express by NS Shopping, an affiliate of the Harim Group, has finally reached a final agreement following approval by the Fair Trade Commission (FTC).

On the 12th, the FTC announced that it had unconditionally approved the business combination, judging that there is "no significant likelihood of restricting competition within the market" regarding NS Shopping's acquisition of the Homeplus Express business.

The total acquisition value of this deal is 120.6 billion won. Given that Homeplus is currently undergoing rehabilitation proceedings, the FTC conducted an exceptionally expedited review, considering that this business acquisition is a key measure of the rehabilitation plan.

The Harim Group is a major conglomerate specializing in poultry and food that has vertically integrated the entire food process, ranging from grain procurement to feed, livestock farming, slaughtering, processing, and distribution. It has expanded its market territory beyond its core chicken products (broiler, young chicken, and native Korean chicken) to include pork, Home Meal Replacements (HMR), ramen, instant rice, and pet food. Although Harim has been operating TV home shopping and online e-commerce channels through NS Shopping, it has been criticized for having weak offline presence. By acquiring Homeplus Express, which possesses a nationwide network of SSMs (corporate-type supermarkets), Harim has finally completed the puzzle of a "comprehensive distribution platform" that encompasses both online and offline channels.

The Fair Trade Commission (FTC) analyzed that this merger results in a total of 11 vertical combinations (Harim's manufactured products + Homeplus Express's distribution network) and 2 mixed combinations (NS Shopping's online network + Homeplus Express's offline network).

Regarding concerns over a potential supply monopoly for "chicken (broiler, samgye, and native chickens)," which was the most contentious issue, the FTC determined that Homeplus Express's market share within the SSM market is relatively low compared to competitors (such as GS The Fresh and E-mart Everyday). Therefore, even when expanding the scope to include adjacent markets such as large food ingredient markets and general supermarkets, the market share remains merely in the 2% range. Given the negligible market share, the likelihood of Harim's competing chicken companies losing sales outlets (competitor exclusion) or, conversely, other distributors facing operational disruptions due to being unable to secure Harim's chicken supply (blockade effect) was deemed very low.

For the remaining 10 items, including ramen, instant rice, and frozen dumplings, it was also concluded that the possibility of restricting competition was minimal due to the low market shares of the parties involved.

The Fair Trade Commission stated, "The purpose of the approved merger is to support a junior player with sufficient competitiveness to recover and grow into a strong competitor to a senior player amidst a market undergoing rapid structural reorganization." The Commission added, "We plan to continue promptly reviewing mergers that promote market innovation to support the creation of a competitive market environment, while strictly responding to mergers that strengthen monopolistic positions or substantially restrict market competition."
