SK하이닉스, 인텔 낸드 메모리 사업 10조원에 인수

브레이크뉴스 정민우 기자= SK하이닉스가 인텔(Intel)의 낸드 메모리와 저장장치 사업을 인수한다. 양사는 20일 양도를 위한 계약을 체결했다고 밝혔다.

 

인수 대상은 인텔의 낸드 SSD, 낸드 단품과 웨이퍼 비즈니스, 중국 다롄팹 등이며, 인수 총액은 90억 달러이다. 인수 대상에 인텔 옵테인(Intel® Optane™)사업은 포함되지 않는다.

 

SK하이닉스와 인텔은 2021년 말까지 주요 국가의 규제 승인을 얻기 위해 노력할 계획이다. 규제 승인을 받으면 SK하이닉스는 우선 70억 달러를 지급하고 인텔의 낸드 SSD 사업(SSD 관련 IP 및 인력 등)과 중국 다롄팹 자산을 SK하이닉스로 이전한다.

 

이후 인수 계약 완료가 예상되는 2025년 3월에 SK하이닉스는 20억 달러를 지급하고 인텔의 낸드플래시 웨이퍼 설계와 생산관련 IP, R&D 인력 및 다롄팹 운영 인력 등 잔여 자산을 인수한다. 인텔은 계약에 따라 최종 거래 종결 시점까지 다롄팹 메모리 생산 시설에서 낸드 웨이퍼를 생산하며 낸드플래시 웨이퍼 설계와 생산관련 IP를 보유한다.

 

SK하이닉스는 이번 인수로 빅데이터 시대를 맞아 급성장하고 있는 낸드플래시 분야에서 기업용 SSD 등 솔루션 경쟁력을 강화해 글로벌 선두권 기업으로 도약한다는 방침이다. 또한, SK하이닉스는 이번 인수가 고객, 파트너, 구성원, 주주 등 모든 이해관계자에게 혜택을 주며 메모리 생태계를 성장시킬 수 있을 것으로 기대하고 있다.

 

인텔은 글로벌 반도체 선도 기업으로 업계 최고 수준의 낸드 SSD 기술력과 QLC(Quadruple Level Cell) 낸드플래시 제품을 보유하고 있다. 인텔 NSG(Non-volatile Memory Solutions Group) 부문 중 낸드 사업의 2020년 상반기(2020년 6월 27일 까지) 매출액은 약 28억 달러, 영업이익은 약 6억 달러 규모이다.

 

SK하이닉스는 CTF(Charge Trap Flash) 기반 96단 4D 낸드(2018년)와 128단 4D 낸드(2019년) 플래시를 세계 최초로 개발하는 등 괄목할 만한 기술력을 선보이고 있다. 향후 SK하이닉스는 인텔의 솔루션 기술 및 생산 능력을 접목해 기업용 SSD 등 고부가가치 중심의 3D 낸드 솔루션 포트폴리오를 구축할 계획이다.

 

인텔은 이번 거래를 통해 얻게 되는 재원을 제품 경쟁력 강화와 AI, 5G 네트워킹, 인텔리전트 엣지(Intelligent Edge)와 자율주행 기술(Autonomous Edge) 등 장기적 성장이 우선적으로 필요한 분야의 투자자금으로 활용한다는 방침이다.

 

SK하이닉스와 인텔은 고객, 협력사, 구성원 등을 위해 이번 계약이 원활히 완료될 수 있도록 협력할 계획이다. 양사는 최근 DDR5 협력과 같이 지속 성장 중인 메모리 기반의 반도체 생태계 수요에 대응하기 위해 지속 협력해 나갈 예정이다.

 

SK하이닉스 이석희 CEO는 “낸드플래시 기술의 혁신을 이끌어 오던 SK하이닉스와 인텔의 낸드 사업부문이 새로운 미래를 함께 만들 수 있게 돼 매우 기쁘다”면서 “서로의 강점을 살려 SK하이닉스는 고객의 다양한 요구에 적극 대응, 낸드 분야에서도 D램 못지 않은 경쟁력을 확보하며 사업구조를 최적화해 나가겠다”고 말했다.
